These Terms of Service ("Terms") govern your use of agiletechexpert.com, our client and employee portals, and every product and service supplied by Agile Tech Experts Private Limited ("Agile Tech Expert", "Agile", "we", "us"). By using the website, signing an order, paying an invoice or using any Service, you ("Client", "you") agree to these Terms together with our Acceptable Use & Anti-Spam Policy, Telecom Compliance Policy, Privacy Policy, Data Processing Terms and Payment, Cancellation & Refund Policy (together, the "Agreement"). A signed proposal, quotation, purchase order or service order ("Order") forms part of the Agreement; if an Order conflicts with these Terms, the Order prevails only for that Order.
1. Who we are and what we provide
- Company: Agile Tech Experts Private Limited, GSTIN 09ABCCA0070G1Z2, registered office 1st Floor, A2-104, GH-04A, Casa Greens 1, Sector 16, Noida, Gautam Buddha Nagar, Uttar Pradesh - 201306.
- Services: software and platforms (AI voice agents, IVR, voice broadcast, dialers, PBX, CRM, HRMS, chat and messaging tools), systems integration, installation, hosting and managed technical services, IT hardware supply and rental, and software licence resale (together, the "Services").
- Our role in telecom: Agile is a technology and systems-integration company. Telecom connectivity — including SIP trunks, PRI/E1 lines, DID and virtual numbers, toll-free numbers, 140-series and 160-series numbers, SMS routes, RCS and WhatsApp access, and DLT registrations — is provided by licensed / authorised telecom service providers and platform owners ("Carriers"). Unless a written Order expressly states otherwise, Agile does not provide telecom service in its own name; it supplies the software, equipment and technical services that you use with connectivity obtained from Carriers.
2. Eligibility and onboarding (KYC)
- Services are offered only to businesses, government bodies and registered organisations, and to individuals aged 18 or above acting for a business purpose.
- Before activation you must complete our onboarding: company documents (Certificate of Incorporation / registration, GST certificate where applicable, PAN), authorised signatory ID and address proof, a description of the intended use, and any declaration or undertaking we or the Carrier require. Carriers may run their own KYC and may refuse a connection.
- You confirm that all information you give is true and complete, and you will tell us within 7 days of any change (ownership, address, authorised person, purpose of use).
- We may refuse, delay or withdraw onboarding where documents are incomplete, the intended use is not lawful, or the Carrier declines.
3. Your responsibilities
You are solely responsible for:
- All use of the Services and of every number, header, trunk, account and login provided to you or created by you, including use by your employees, agents, resellers, sub-users and customers.
- The content of every call, message, recording, prompt, script and AI instruction you send, configure or approve, and the lists of people you contact.
- Consent and preferences: obtaining and recording valid consent, honouring Do-Not-Disturb (DND) and opt-out requests, and respecting the preferences registered under TRAI regulations.
- Registrations: registering as a Principal Entity / sender on the DLT platform in your own name, and registering headers, templates, consent templates and the purpose of robo/auto-dialled calls, as required.
- Correct number series: using 140-series numbers for promotional voice calls and 160-series (or other designated) numbers for service and transactional calls, as directed by TRAI and your Carrier.
- Compliance with law: the Telecommunications Act, 2023 and rules made under it; TRAI regulations including the Telecom Commercial Communications Customer Preference Regulations, 2018 (TCCCPR) as amended; the Information Technology Act, 2000 and rules; the Digital Personal Data Protection Act, 2023 and Rules; the Consumer Protection Act, 2019; and any sector rules that apply to you (for example RBI, IRDAI, SEBI or health regulations).
- Security of credentials: keeping portal passwords, API keys, SIP credentials and devices secure. Activity from your credentials is treated as your activity.
4. Prohibited use
You must not use the Services for anything described in our Acceptable Use & Anti-Spam Policy, including unsolicited commercial communication, calling-line (CLI) spoofing, fraud, impersonation, harassment, illegal content, or any activity that violates law or a Carrier's terms.
5. Suspension and termination by us
We may immediately, and without prior notice where the risk requires it, suspend or restrict any Service, number, header, campaign or account, block traffic, or terminate the Agreement if:
- we receive a complaint, notice, direction or request from TRAI, the Department of Telecommunications (DoT), a Carrier, a law-enforcement agency, a court or any other authority;
- we reasonably believe the Services are used in breach of the Agreement or the law, or in a way that may expose us, a Carrier or the public to harm;
- a Carrier suspends, disconnects or blacklists a resource used by you;
- you fail KYC re-verification or provide false information; or
- an invoice remains unpaid beyond its due date.
Suspension does not stop charges already incurred. Where the cause is your breach, no refund or credit is due, and we may recover any penalty, charge or loss that results.
6. Cooperation with authorities
We comply with lawful requests and directions of government authorities, regulators, Carriers and courts. This can include sharing your KYC details, account information, call and message records and content, preserving data, blocking numbers or traffic, and suspending Services. We may do this without notifying you where the law or the authority requires confidentiality.
7. Fees and payment
Fees, taxes, billing cycles and due dates are set out in the Order and invoice. GST and other applicable taxes are payable in addition. Prepaid usage (minutes, messages, credits) is consumed at the rates in the Order. Late payment may attract interest at 18% per annum and suspension. Usage generated through your account is payable whether or not it was authorised by you. See also the Payment, Cancellation & Refund Policy.
8. Hardware, licences and third-party products
- Title to purchased hardware passes on full payment; risk passes on delivery. Rental hardware remains our property and must be returned in good condition; loss or damage is charged at replacement value.
- Manufacturer warranties are passed through to you as provided by the manufacturer. Our support for third-party products is limited to reasonable assistance.
- Software licences (for example Microsoft, Oracle, Adobe, Tally or Busy) are subject to the publisher's licence terms, which you accept by using them.
- Brand names and trademarks of third parties belong to their owners and are used only to identify their products.
9. AI features
AI voice agents, chatbots and assistants generate responses automatically and can make mistakes. You are responsible for reviewing scripts, prompts and knowledge sources, for telling callers they are speaking with an automated system where the law or good practice requires it, for providing a way to reach a human, and for any decision you take based on AI output.
10. Service levels and support
Uptime, response and resolution targets, if any, apply only when stated in the Order. Services depend on Carriers, internet connectivity, power, cloud providers and third-party platforms that are outside our control. Planned maintenance will be notified where practicable.
11. Intellectual property
We (or our licensors) own the software, platforms, documentation and know-how used to provide the Services. You receive a limited, non-exclusive, non-transferable right to use them during the term of the Order for your internal business purposes. You own your data and content and grant us the rights needed to provide the Services. You must not copy, reverse-engineer, resell or white-label our software unless the Order permits it.
12. Confidentiality and data
Each party keeps the other's confidential information confidential. Personal data is handled under our Privacy Policy and, for data you upload or generate through the Services (contact lists, recordings, transcripts, CDRs), under the Data Processing Terms.
13. Indemnity
You will defend, indemnify and hold harmless Agile, its directors, employees and partners from and against all claims, complaints, penalties, fines, disconnections, blacklisting, losses, damages, costs and legal fees arising out of or related to: (a) your use of the Services or of any number, header or resource provided to you; (b) the content you send or configure; (c) your breach of the Agreement or of any law or regulation, including TRAI regulations, DoT directions and the DPDP Act; (d) any complaint by a recipient of your communications; or (e) the acts of your users, agents, resellers or customers.
14. Limitation of liability
To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, data or goodwill; (b) we are not liable for any action taken by a regulator, Carrier or authority because of your use or content; and (c) our total liability for all claims in any 12-month period is limited to the fees you paid us for the affected Service in the 3 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under law.
15. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including Carrier or network outages, regulatory directions, government action, natural events, epidemics, fire, war, cyber-attacks or power failure. Payment obligations for Services already delivered continue.
16. Term and termination
The Agreement runs for the term in the Order and renews as stated there. Either party may terminate for the other's material breach that is not cured within 15 days of written notice (or immediately for breaches of sections 3, 4 or 6). On termination you must pay all amounts due, return rental equipment, and stop using our software. We may delete your data 30 days after termination unless the law requires us to keep it.
17. Changes
We may update these Terms. The updated version is posted on this page with a new effective date. Continued use after the effective date means you accept the change. Material changes affecting an active Order will be notified by email.
18. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute through good-faith discussion for 30 days. Unresolved disputes will be referred to arbitration by a sole arbitrator appointed by Agile under the Arbitration and Conciliation Act, 1996; the seat and venue will be Noida, Uttar Pradesh, and the language English. Subject to arbitration, the courts at Gautam Buddha Nagar (Noida), Uttar Pradesh have exclusive jurisdiction.
